Terms & Conditions

Terms and conditions governing your use of PRMWire's press release writing and distribution and/or distribution only services (collectively, the "Service").

1. Use

A

You are responsible for the content and accuracy of all news copy and other information submitted by you to PRMWire or entered into the Service (the "Submitted Materials"). You are also responsible for the content and accuracy of all news copy written by our subcontracted writers and approved by you. PRMWire is not responsible for any claims or falsified information made in a press release that we write and submit, or simply submit, on your behalf. Due to the volume of information we handle daily, we cannot be expected to fact-check all claims made on your website or in your order form. All Submitted Materials must follow PRMWire's editorial guidelines, which are subject to change at PRMWire's discretion. PRMWire's writers are not obliged to contact any client by phone at any time — all communications are conducted over email and requests for phone contact will be denied.

PRMWire reserves the right to deny or edit any third-party submitted materials, provided that substantive edits will not be made without your consent. PRMWire also reserves the right to delete any press release from the website, remove it from distribution, or deny any press release submitted. Once a press release has gone live, PRMWire can only remove it from its own network and makes no warranty to remove it from any third-party networks or sites outside the PRMWire consolidated network.

PRMWire makes every effort to syndicate all press releases professionally and accurately. Any mistakes clearly attributable to PRMWire will be corrected immediately at no additional charge, and such obligation to amend constitutes the sole liability of PRMWire in this regard. If a press release is not distributed within 15 days of the original order, PRMWire will provide your next press release at no charge. PRMWire guarantees all press releases will be written within 72 hours of receiving the complete order details. Should a writer contact you, your response time to any email is added to the 72-hour period.

All orders to PRMWire must include a user-supplied contact name, phone number, and email address that may be verified by PRMWire.

E

PRMWire delivers press releases via online distribution channels to make content available for redistribution. PRMWire is not responsible for who picks up a press release or how it is used by third parties. You shall not query, crawl, or covertly access any of PRMWire's systems without express written consent.

F

PRMWire submits all relevant packages to the Associated Press network for editorial review. However, as the AP is a third-party entity operating under its own internal protocol, PRMWire cannot guarantee distribution there. PRMWire only guarantees that releases from relevant packages will be submitted to the AP network — it is at the editors' discretion whether they choose to publish. This applies to all media outlets PRMWire submits to, with each individual site making its own editorial decisions.

G

Should a glitch or mistake occur on a website that is not a direct PRMWire partner, and that mistake is not present in the original copy PRMWire distributed, PRMWire cannot be held responsible. By purchasing from PRMWire you acknowledge that third-party websites may post your content incorrectly and that PRMWire will not be held responsible for such mistakes.

H

PRMWire is not responsible for how links are displayed on third-party websites. If links are stripped or hyperlinks removed, PRMWire is not responsible, as each third-party website displays links according to its own internal protocol.

I

PRMWire is not responsible for the lifespan of your release on each third-party website. Some will host your release indefinitely; others may choose to remove old content after a period of time.

2. Billing

A

All amounts paid are nonrefundable and left to the discretion of PRMWire. PRMWire reserves the right to modify its fees and introduce new charges at any time. Should PRMWire decide a client is entitled to a refund, PRMWire reserves the right to withhold a portion of the payment to cover costs incurred for any partially completed release, whether for writing, distribution, or both, depending on the stage at which the refund was requested.

B

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties, excluding only United States federal or state taxes based solely on PRMWire's income.

C

You agree to pay upfront for any service provided by PRMWire.

D

All fees will be billed in U.S. dollars.

E

Any credits purchased are valid for 6 months (180 days), after which they will expire and be removed from your account. Credits must be fully processed before the deadline, with a ticket created, written, and distributed.

3. Warranties & Limitation of Liability

A

You represent and warrant to PRMWire that (i) you have the right to deliver the Submitted Materials to PRMWire; (ii) you will comply with all applicable laws, rules and regulations, including the Children's Online Privacy Protection Act of 1998 and laws relating to spam; (iii) Submitted Materials will not contain obscene, libelous, slanderous, defamatory, false or misleading content, or content that violates any copyright, right of privacy, or other right of any person; and (iv) Submitted Materials will not contain any viruses, scripts, macros, or code that alters, destroys, infiltrates, or inhibits the operation of computer systems or data within the Service.

B

PRMWIRE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND TITLE, AND ANY IMPLIED WARRANTIES ARISING FROM STATUTE, COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE, REGARDING THE SERVICE. PRMWIRE DOES NOT WARRANT THAT THE SERVICE WILL BE FREE FROM ERRORS, INTERRUPTIONS, DELAYS, LOSSES OR DEFECTS, WHETHER HUMAN OR MECHANICAL.

C

PRMWire's entire liability for damages arising under or in connection with your use of the Service shall be limited to your actual direct damages, not to exceed the amounts paid by you during the twelve months immediately preceding the month in which the cause of action arose. IN NO EVENT SHALL PRMWIRE BE LIABLE FOR ANY LOST PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOST SAVINGS OR OTHER CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

D

PRMWire's writers are subcontractors and PRMWire is not responsible for their actions outside the parameters set upon hiring. Should a writer act outside those parameters, they will be terminated and the assignment completed by another writer. Any material created by a writer is the client's responsibility upon approval. Should a client enter into a private agreement with a writer outside of PRMWire, PRMWire is released of all responsibility for that writer's subsequent actions.

E

Where PRMWire allows you to include an optional YouTube video with your release, inclusion cannot be guaranteed across all networks. The video will only be included via distribution channels that support it.

4. Indemnification

A

PRMWire will indemnify and hold you harmless against any third-party claim alleging that the Service infringes any intellectual property right under the laws of the United States. This indemnification does not cover claims arising from: (i) modifications to the Service by anyone other than PRMWire or its authorized agents; (ii) use of the Service in combination with other software or equipment not authorized by PRMWire; or (iii) your failure to use the Service in accordance with these terms and conditions.

B

You shall indemnify and hold harmless PRMWire, its affiliated companies, and its third-party vendors from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable attorney's fees) arising out of or relating to any breach by you of any representations or warranties contained herein, or otherwise arising out of or relating to the Submitted Materials.

C

Indemnification is conditioned upon: (i) the Indemnitee promptly notifying the Indemnitor of any claim; (ii) the Indemnitor having sole control of the defense and settlement negotiations; and (iii) the Indemnitee cooperating, at the Indemnitor's expense, in the defense.

D

If a claim alleging infringement is brought or is likely to be brought, PRMWire may, at its sole option and expense: (i) obtain the right for you to continue using the Service; (ii) replace or modify the Service so that it becomes non-infringing; or (iii) upon notice, terminate your use of the Service and promptly refund the prorated portion of any pre-paid fees.

5. Miscellaneous

A

PRMWire facilities are governed by Federal and State regulations.

B

Certain content available through the Service is protected by copyright, trademark, patent, or other proprietary rights of PRMWire and its affiliates, licensors, and/or service providers. You shall not use any trademarks, service marks, logos, or other content accessible through the Service other than as approved by PRMWire, nor modify, alter, or deface any intellectual property made available by PRMWire. All rights not expressly granted are reserved by PRMWire.

C

You shall not hold yourself out as sponsored by, affiliated with, or endorsed by PRMWire or its subsidiaries. You agree not to defame or disparage PRMWire, its trademarks or the Service, or to adapt, translate, modify, decompile, disassemble, or reverse engineer the Service or any software used in connection with it.

D

You consent to receive communications from PRMWire electronically by email, by telephone, or by postal mail to the contact details provided with your account. PRMWire does not guarantee phone availability and reserves the right to communicate with clients via email at its discretion.

E

By registering for the Service or submitting Submitted Materials, you agree to be bound by these terms and conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. PRMWire reserves the right to pursue all legal and equitable remedies, including terminating user accounts, should you violate these terms.

You are responsible for all activity occurring under your account and shall abide by all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Service. Your obligations shall be binding on your heirs, successors, and assigns.

G

While almost all PRMWire press releases make it into Google News, PRMWire cannot guarantee inclusion as Google is a third-party website operating under its own internal protocol. Though PRMWire cannot be held accountable for failure to publish in Google News, since it is an advertised part of the service, PRMWire will discuss reparations with clients who fail to get published on that network.

H

PRMWire reserves the right to modify these terms and conditions or its policies at any time, effective upon posting of an updated version. You are responsible for regularly reviewing these terms. Continued use of the Service after any changes constitutes your consent to those changes.

I

You acknowledge and agree that you and PRMWire are independent contractors, and nothing herein shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party has authority to enter into agreements on behalf of the other.

J

This Agreement shall be governed by and construed under the laws of Maryland, exclusive of its conflict of law provisions. Any suit hereunder will be brought in the federal or state courts located in the State of Maryland, and you submit to the personal jurisdiction thereof. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.
